JD Logistics to Acquire Full Ownership of Kuayue Express

JD Logistics, Inc., a consolidated subsidiary of JD.com, Inc. (HKEx: 2618), announced that it has signed an agreement to acquire the remaining shares of Kuayue-Express Group Co., LTD. This move will increase JD Logistics' ownership stake to approximately 100% from about 63.57%.

The share transfer agreement, signed on December 6, 2024, outlines a purchase price of up to RMB 6.484 million for the approximately 36.43% stake in Kuayue-Express. The final amount will be subject to adjustments according to the terms of the agreement.

This acquisition represents a strategic step for JD Logistics, as taking full control of Kuayue-Express will solidify its position in the logistics market. The transaction will occur in multiple phases and will comply with customary closing conditions before completion.
